Terms of Service

The agreement between you and crux when you subscribe to and use the crux desktop app. We've written it in plain English. Please read it; it matters.

The short version

  • crux is a subscription to a Windows desktop app. One seat is one user on one computer.
  • You pay monthly or yearly in advance through Stripe. It renews automatically until you cancel.
  • Cancel anytime in the billing portal; it takes effect at the end of the period you've paid for.
  • crux helps you estimate. You check its work and you're responsible for your bids.
  • You need your own Claude subscription from Anthropic, which is separate from crux.

01Who we are

crux is provided by crux ai llc ("crux", "we", "us"). These Terms of Service ("Terms") are an agreement between us and the business or person that subscribes to crux ("you"). If you accept these Terms for a company, you confirm you're authorized to bind that company, and "you" means the company.

By creating an account, completing checkout or using the crux app, you agree to these Terms, our Privacy Policy and our Refund & Cancellation Policy. crux is sold for business use. You must be at least 18 years old to subscribe.

02The service

crux is estimating software for specialty subcontractors. The service includes:

  • the crux desktop app for Windows, which runs on your computer;
  • a license for each seat you pay for, checked by our license server;
  • the trade pack or packs included with your subscription (a trade pack is a trade's knowledge, takeoff rules, production rates and templates), plus default rate tables and templates;
  • software updates while your subscription is active; and
  • email support.

The app helps you read bid documents, measure takeoffs from vector drawings, track addenda, draft RFIs, and build estimates and proposals. Features may change as we improve the product.

03Beta and pre-launch features

crux is in private beta. Some features may be labelled beta, preview or early access. They may be incomplete, change or be removed, and they are provided as they are. We'll tell you about significant changes that affect what you pay for.

04Accounts, seats and devices

  • One seat, one user, one computer. Each seat licenses one named person to use crux on one Windows computer at a time.
  • Device binding. When you activate a seat, the app creates a cryptographic key on that computer, and our license server records its public half to tie the seat to that device.
  • Moving a seat. Deactivate the seat in the app on the old computer, then activate it on the new one. If the old computer is lost or broken, email us and we'll reset the seat. We may limit how often a seat is moved to prevent sharing.
  • Keep your key private. Your license key is for your seat only. Tell us right away if you think someone else is using it; we may rotate it.
  • You're responsible for activity under your seats and for keeping your account email current.

05Subscriptions, billing and renewal

  • Plans. crux is sold per seat, billed monthly ($399 per seat per month) or annually ($3,990 per seat per year), unless a different price was shown to you at checkout.
  • Payment. You pay in advance, in US dollars, by card or another method offered at checkout. Payments are processed by Stripe. We never see or store your full card number.
  • Automatic renewal. Your subscription renews automatically at the end of each monthly or annual period, and Stripe charges your payment method at the then-current price, until you cancel.
  • Taxes. Prices don't include sales, use or similar taxes. Where they apply, they're calculated and added at checkout.
  • Price changes. We may change prices. We'll email you at least 30 days before a new price applies to your subscription, and it takes effect at your next renewal. If you don't agree, you can cancel before then.
  • Failed payments. If a payment fails, Stripe will retry it and we'll email you. If it still can't be collected, we may pause your seat until payment is made.

06Founder pricing

The first 20 companies to subscribe can get founder pricing: $299 per seat per month, or $2,990 per seat per year. The founder price is locked for 24 months from your first payment while your subscription stays active. After 24 months, your seats renew at the standard price then in effect, with the notice described above. If you cancel, or your subscription ends for non-payment, founder pricing ends and can't be restored. Founder pricing can't be combined with other offers or transferred to another company.

07Cancellation and refunds

You can cancel at any time from the Stripe billing portal, which is linked from the app and from your receipts, or by emailing support@cruxai.bid. Cancellation takes effect at the end of your current paid period; you keep access until then and you won't be charged again. Payments are otherwise non-refundable, except as described in our Refund & Cancellation Policy or where the law requires.

08Claude and other third-party services

crux uses Claude, an AI model made by Anthropic, through Anthropic's official Claude app, which crux helps you install. You need your own paid Claude subscription, bought from and billed by Anthropic. Your use of Claude is governed by your agreement with Anthropic, including its usage limits and privacy terms. crux doesn't include, resell or pay for Claude, and we aren't responsible for Claude's availability, limits, pricing or output.

crux also relies on Microsoft Windows and, if you choose, other free tools that setup downloads for you, each under its own license. crux is independent and isn't affiliated with or endorsed by Anthropic or Microsoft.

09Your content and your data

  • You own your content. Your bid documents, drawings, takeoffs, estimates, proposals, rates, templates and other files ("your content") belong to you or your licensors.
  • It stays on your computer. The crux app stores your content on your computer, in folders you choose. We don't upload it to our servers.
  • Processing by Claude. To do its work, crux has Claude read your content under your own Claude account. You're responsible for having the right to use the documents you load, and for choosing what you share.
  • What we do receive is described in our Privacy Policy: account, license, device and usage information, and anything you send us for support.
  • Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.

10Your professional judgment

crux is a tool that helps a qualified estimator work faster. It does not replace your judgment. In particular:

  • You're responsible for reviewing every quantity, price, estimate, proposal, RFI and other output before you use or send it, and for the bids you submit.
  • AI output can be wrong or incomplete, even when it cites a source. Check the cited source.
  • Default production rates, labor rates, material prices and templates are general starting points, not quotes. Material prices you haven't confirmed are marked budget-grade.
  • Knowledge about regulations, including safety and environmental rules (for example lead-based paint), prevailing wage and Davis-Bacon rules, is general guidance, not legal, safety or engineering advice. Rules vary by location; verify them locally.
  • crux drafts. It does not send emails, RFIs or proposals on your behalf.

11Acceptable use

You agree not to:

  • share, sell, sublicense or rent your license or seats, or use one seat on more than one computer at a time;
  • copy, decompile, reverse engineer, decrypt or extract the app's code, playbooks, knowledge pack or models, except where the law expressly allows it despite this restriction;
  • bypass or interfere with licensing, device checks, security or usage controls;
  • use crux to build a competing product, or to break the law or anyone's rights; or
  • load content you don't have the right to use.

12Our software and intellectual property

crux, including the app, its knowledge pack, default templates, the crux name and marks, and this website, belongs to us or our licensors and is protected by law. While your subscription is active and you follow these Terms, we grant you a limited, non-exclusive, non-transferable license to install and use the app for your internal business, on the number of seats you pay for. Open-source components are licensed under their own terms, which are included with the app.

13Updates and support

The app checks for and installs updates automatically so it stays secure and compatible. Some updates may be required to keep using crux. Support is by email at support@cruxai.bid during normal business hours; we aim to reply within two business days.

14Suspension and termination

You can stop using crux and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, don't pay, or if we must do so by law. Where it's reasonable, we'll warn you first and give you a chance to fix the problem. If we end the service for reasons other than your breach, we'll refund any prepaid fees for the unused part of your period. When access ends, the app stops working, but your content remains on your computer.

15Disclaimers

Apart from the promises we make in these Terms, crux is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that crux will be error-free or uninterrupted, or that its output will be accurate or complete, or that any bid prepared with crux will win or be profitable.

16Limitation of liability

To the fullest extent the law allows: neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, bids, contracts or data; and our total liability for all claims relating to crux is limited to the amount you paid us for crux in the 12 months before the event that gave rise to the claim. These limits don't apply to liability that can't be limited by law.

17Indemnity

You'll defend and indemnify us against third-party claims arising from your content, your bids or proposals, or your breach of these Terms, and pay resulting damages and reasonable costs, as long as we promptly tell you about the claim and let you control its defense.

18Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable US federal law, without regard to conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Pennsylvania, and both parties consent to those courts. Before filing a claim, please email us so we can try to resolve it informally within 30 days.

19Changes to these Terms

We may update these Terms as crux changes. We'll post the new version here with its date and, for material changes, email you at least 30 days before they take effect. If you keep using crux after that, the new Terms apply. If you don't agree, cancel before they take effect.

Other terms: if any part of these Terms is unenforceable, the rest still applies; our not enforcing a term isn't a waiver; you may not assign these Terms without our consent; and these Terms, with the policies they link to, are the entire agreement between us about crux.
